Detailed information about Utair airline. How UTair Airlines CEO Andrei Martirosov “fools” officials and shareholders

On June 30, 2017, UTair airline held its annual general meeting of shareholders in Khanty-Mansiysk.

Andrei Martirosov, who has held this position since 1999, was elected head of the airline. The meeting also approved the annual report, annual financial statements, including the profit and loss statement.

In 2016, UTair aircraft carried 6.7 million passengers (UTair Group – 7.6 million), which is 20.1% more than a year earlier. At the same time domestic flights 5,602,435 passengers (+25.5%) used it. The flight hours on UTair Group helicopters in 2016 reached 131.7 thousand hours.

According to the financial statements approved by the shareholders, the airline’s revenue amounted to 55.6 billion rubles. (+12.1%), UTair Group – 75.4 billion rubles. (+7.1%). Net profit increased to 0.59 billion rubles, operating profit - to 1.67 billion rubles. (+4.09%). Return on assets increased by 20.5 percentage points. and amounted to 0.7%.

“2016 is a landmark year for UTair airline. We stabilized the financial situation and received a net profit both in the parent company and as part of the UTair Group, having made all payments to creditors established by the agreements. These results are direct proof that two years ago the right strategy was adopted to overcome the crisis, supported by our creditors, shareholders and the state. Our “Impulse” cost reduction program will go down in the history of the aviation industry as one of the most ambitious and effective. In 2017, the main tasks for the airline are to improve the quality of the product provided to our passengers, further increase the efficiency of fleet use, improve procurement procedures, strengthen control over costs, and increase labor productivity. During 2015–2016, UTair has already increased traffic by 20% per year on the same fleet. At the same time, labor productivity increased by a third, by 32.8%, compared to 2015,” commented Andrey Martirosov, CEO of UTair airline.

It was decided to distribute the net profit for 2016 in accordance with the recommendations of the supervisory board; dividends on ordinary registered shares would not be accrued or paid.

The composition of the supervisory board is determined to be 7 people. Ernst & Young LLC was approved as the auditor for the audit of financial and economic activities for 2017.

Airline UTair is the core of the UTair Group, which includes companies operating aircraft (planes and helicopters), as well as companies for aircraft repair and maintenance, personnel training, flight maintenance and air transportation sales.

In 2016, UTair aircraft carried 6,654,417 passengers, exceeding the 2015 result by 20.1%. During the high season, the airline operates flights to 170 destinations, 65 of which are unique. Today UTair has a modern aircraft fleet of more than 60 aircraft. The airline's main hub is Moscow. international airport Vnukovo, through which more than 160 airline flights pass daily. The headquarters is located in Surgut. UTair airline has been included in the IOSA operator register since 2008.

In November 2015, three years ago, in Ugra, the Duma and the government made a joint and agreed decision to recapitalize UTair airline by 11.5 billion rubles. The main motivation for the decision was to preserve local air transport for the population of the district living in remote areas that cannot be reached except by air. By the way, in 2013, UTair AK stated in negotiations with the authorities that it was ready to expand its flight geography and make more flights, but on the condition that the Regional Tariff Service agreed on market tariffs for it. Then the authorities had to decide whether they were ready to incur additional costs to subsidize the airline or shift the burden onto the residents themselves. At this point the decision stalled.

The Tyumen region (2.5 billion rubles) and the Surgutneftegaz Non-State Pension Fund also took part in investing 25 billion in UTair JSC in 2015. After the completion of the transaction, Ugra became the owner of 38.8% of the shares of the authorized capital of the air carrier. The essence of the problem of UTair AK was that in October 2014 it turned out that the company had defaulted on bonds in the amount of 2.7 billion rubles. In December, investors filed a lawsuit against UTair - the reason was the debt for leasing the Tu-154 M aircraft, then it turned out that the company had accumulated a debt to creditors - more than 167 billion rubles. The federal authorities agreed to help the company with the provision of state guarantees, but at the same time set the conditions that shareholders must, at their own expense, additionally capitalize the company by 25 billion rubles.

The allocation of 11.5 billion rubles to a private company from the state budget is, in general, a rare matter. During a discussion in the Duma of the Khanty-Mansi Autonomous Okrug-Yugra,” LDPR deputy Evgeniy Markov said: “We need to understand that today we are becoming a shareholder of a company whose property will be pledged to creditors, and if something goes wrong again, our investments are not protected . And I insist that we must have a shareholder agreement on the order and procedure for Khanty-Mansiysk Autonomous Okrug’s comfortable exit from this share capital after a certain period of time.” Deputies were never able to find out what this shareholder agreement looks like.

A year later, in November 2016, the General Director of UTair AK Andrey Martirosov reported to the deputies of the Duma of Khanty-Mansi Autonomous Okrug-Yugra about the work for the past year. He, in particular, said that the airline was implementing a certain plan to overcome the crisis: “Today, foreign exchange expenses to foreign exchange earnings (which come from international helicopter transportation) are balanced. We have from 200 to 300 million dollars a year in foreign exchange earnings. This allows you to make today's lease payments and purchase spare parts. Our business model today is the most balanced among others Russian airlines who do not have such foreign exchange income. In Ugra, the company provides jobs for more than 1,100 people. At the same time, over two years, the airline reduced the number of employees within the entire group by more than half. So, if in 2014 6.5 thousand people worked in UTair structures, then in September 2016 the number of employees was just over 3 thousand people.” Deputies were interested in whether there would be more cuts. “We have already greatly reduced the number of staff. And a further reduction in numbers will simply physically worsen the quality of management,” Martirosov replied.

It is curious that during the same period when the general director of UTair AK gutted the budgets of Yugra, Tyumen and the pension fund of oil workers, the company said goodbye to a profitable asset - the airline, Azur Air based in Krasnoyarsk. Its authorized capital is 2 million 725 thousand rubles, and the owner is the Moscow travel agency “VAN2FLAY” with an authorized capital of 18,750 rubles, up to 5 employees, the agency often changes its address. This LLC was created in May 2014, when the idea of withdrawing the asset apparently matured in the minds of the management of UTair AK.

Now at aircraft park Azur Air has 23 Boeing aircraft of various modifications. The company has a turnover of billions of dollars and profits amounting to hundreds of millions of rubles. The aviation industry press noted in 2015 that Azur Air had changed hands after "settling some legal issues." The authorized capital of Azur Air has been encumbered and pledged since September 3, 2015 by UTAIR AIRLINE PJSC and UTAIR HELICOPTER SERVICES JSC. As they say, sleight of hand... It would not be out of place to note that the direct and final controlling party of UTair is the non-state pension fund Surgutneftegaz through its JSC AK-Invest, which owns 50.1% of the company's shares.

The profit of UTair AK at the end of 2017 during the reporting period fell by more than half compared to 2016 and amounted to 2.4 billion rubles. Previously, the company reported financial results for 2017 according to Russian accounting standards. According to RBSU, UTair’s net profit also decreased significantly - by 11 times and amounted to about 101 million rubles. The losses of the airline AK UTair in the first half of 2018 amounted to 3.8 billion rubles. In 2017, the company also showed a loss of 2.3 billion rubles. This is reported in the company's financial report.

It is noted that accounts payable, compared to last year’s data, increased from 9.2 billion to 11.1 billion rubles. It is possible that UTair AK is currently close to the pre-bankruptcy situation in which it found itself four years ago. Currently, UTair's fleet consists of 65 aircraft.

Another news from September was the news that UTair no longer has helicopters, and its fleet was considered the largest in the world - more than 320 aircraft. Commenting on the situation, industry publications noted that UTair has finally decided to separate its aircraft and helicopter businesses, and this is good. How good? Some aviation experts expressed the seditious idea that manipulations with the helicopter fleet of UTair - Helicopter Services JSC have become the same proven way to “steer away” the most valuable assets from the bankruptcy procedure. A little higher we wrote about how Andrey Martirosov values helicopters, we repeat: “Today, foreign exchange expenses to foreign exchange income (which comes from international helicopter transportation) are balanced. We have from 200 to 300 million dollars a year in foreign exchange earnings.”

Now some statistics.

In the spring of this year, a message was published on the information network that UTair airline, which in 2013 was forced to massively reduce its fleet due to financial problems, announced a major deal to update its fleet: the company intended to take 30 new Boeing aircraft until 2025 on operating lease.

Boeing Corporation posted information about agreements with UTair in its monthly report on new contracts: at the beginning of April 2018, agreements were reached under which UTair could count on 30 Boeing 737 MAX instead of previously ordered aircraft of a different version - 737 NG.

As is known, UTair began its fleet renewal program in 2013, having made a large order from Boeing. Then the company managed to receive the first six aircraft, but due to a crisis within the UTair group itself, these aircraft had to be returned to the lessor. “Subsequently, we transformed the remaining batch into an order for 30 Boeing 737 MAX 8,” UTair CEO Andrei Martirosov told the Vedomosti newspaper. According to him, these ships will replace the smaller Boeing 737-500, due to which the overall seat capacity and fuel efficiency of UTair will increase. At the same time, the company's fleet will not grow.

“We will receive the first two vessels from this order in 2019,” Martirosov said. According to him, further supplies will depend on market conditions. The fleet renewal is scheduled to be completed in 2025. According to the publication, the aircraft ordered by UTair could cost about $1.76 billion.

Of course, updating the fleet is good, but for some reason one gets the impression that UTair managers exist somewhere inside a surreal plot they have invented, in which there is only profit and nothing else but profit. In fact, servicing multi-billion-dollar loans alone eats up a significant portion of income, plus wages, fuel, repairs and spare parts for foreign currency, taxes, and in addition, the value of the company itself is reduced - its shares on the Moscow Exchange have long been in an almost fatal dive.

It is not for nothing that deputy Evgeny Markov, speaking at an almost historic meeting of the Duma of Khanty-Mansi Autonomous Okrug-Yugra, where the district practically donated 11.5 billion rubles from the budget to UTair, worried about what would happen if the property was mortgaged and changed its owner - how would it be returned then? money? Three years later, it became clear that, having patched up bankrupt holes with Ugra and other money, UTair was moving on its own course, relying on its own interests, on imported equipment, which it purchased for dollars abroad on lease. Purchased aircraft fly with registration numbers Bermuda, and the carrier’s management “didn’t give a damn” about the domestic aircraft manufacturer. The West turned out to be closer “to the body and pocket” of Martirosov. This concerns not only the payment of export duties on aircraft, but also the minimization of tax deductions from property on the balance sheet. It turns out that, in fact, trying to “ride” the state by minimizing tax deductions, the air carrier turns to the same state for help, hiding behind the interests of passengers. Making savings on passengers and personnel, the management of UTair AK adheres to its strategy, the essence of which is to support foreign aircraft manufacturers. This oddity was recently brought to the attention of the Minister of Industry and Trade of the Russian Federation Denis Manturov, who suggested that UTair think about purchasing domestic IL-114 aircraft, which should go into production in 2021. This statement was made at a meeting with State Duma deputies.

At this meeting, the first deputy chairman of the State Duma Committee on natural resources, property and land relations Vladimir Sysoev, representing in the State Duma Tyumen region, Yugra and Yamal, raised the topic of updating the UTair aircraft fleet, whose aircraft have recently been involved in several aviation accidents.

The deputy asked the minister to consider the possibility of assistance from the Ministry of Industry and Trade in updating the UTair aircraft fleet. In response to Sysoev’s speech, Manturov said that today it is time for UTair to begin to engage in the possible selection and conclusion of agreements on the acquisition of domestic aircraft under leasing. We must pay tribute to the resourcefulness of the minds of the managers of UTair AK, who decided to make the government of the Russian Federation a kind of magical Old Man Hottabych. Realizing that after the recent “cleansing” of the budgets of Yugra and Tyumen, it is unlikely that anything will break off there, the managers of UTair AK are trying their luck in the Government of the Russian Federation, while stirring up the heat with the wrong hands.

At the end of August, managers of S7 airline presented to the governor of the Moscow region a project for creating an enterprise in the city of Stupino, which will produce Victory business jets. About 13 billion rubles will be invested in the project.

It is noted that Victory aircraft are made from carbon composite materials. They reach a length of about 10 m and weigh no more than three tons. The maximum flight range exceeds 2 thousand km, speed - 600 km per hour. The crew consists of one pilot, the capacity is four to five passengers.

– Andrey Zarmenovich, the past year was especially successful for UTair. Share the “secrets of mastery.”

– The secret is that UTair is, in a sense, the most unique company not only in Russia, but throughout the world. Don't be surprised, this is true. Our peculiarity is that we simultaneously develop three directions of equal importance. The first is helicopter transportation, including passenger transportation. Here we are a leader domestically and play a prominent role in the international market. Secondly, we provide regular air transportation, being one of the top five largest companies Russia. And third - services (maintenance, repair of aircraft and helicopters, ticket sales, etc.). And at the same time we strive to dynamically develop all three areas.

– You often travel abroad. Do you prefer to fly your own planes?

– Apart from Russia, we currently operate regular flights only to CIS countries. Therefore, I cannot use the services of my own company even if I want to. If it were possible, only UTair would fly. We have excellent service on board, to which we pay great attention. Moreover, in many ways we even exceed the world average. Passengers have the opportunity to feel it. By the way, have you ever flown on our planes?

- No.

– Fly and see for yourself the high level of UTair service.

– What about the notorious “human factor”? Passengers of various airlines sometimes complain about the rudeness of service staff...

– I’ll tell you this: the incorrect and sometimes downright boorish attitude of the staff, especially the flight attendants, poor quality food, low cultural level – we really had to get rid of all this heritage. We “burned out the previously existing norms and rules of service with a hot iron.” We spent a lot of effort on updating the service staff. We practically had to part with the old generation flight attendants. We have developed new on-board service departments from scratch.

– You are the chairman of the board of the Association of Russian Airlines. What do you do in this position?

– Air carriers, despite serious corporate disagreements and the presence of a highly competitive environment, have large number general problems. So they are the subject of joint activity, discussion, and development of positions. The association's task is to find common ground on all issues. Plus relationships with authorities, suppliers, design bureaus, the aviation industry...

– In one of your interviews, you said that US air transport carries 800 million passengers a year. In Russia, a little more than 30 million fly. What is this connected with?

– There is such a criterion as population mobility. If there are 300 million people living in America, and air transport carries 800 million, which means the mobility coefficient is 2.8. In Russia, with a population of 140 million, only 35 million are transported (together with Western companies - about 40). That is, the mobility coefficient is slightly more than 0.3. The difference is huge.
The fact is that in our country the average per capita income of the population is several times lower than in the United States. Once real incomes start to rise, air travel will also increase.
Previously, the minimum wage in the country was 70 rubles, but a ticket for a three-hour flight cost about the same. Therefore the Soviet air fleet carried 130 million passengers a year. With the current minimum wage, which is 1000 rubles, a three-hour flight costs about 5 thousand. With this ratio, people are less able to use our services.

– So, there are prospects for growth?

– The prospects are gigantic. According to generally accepted international criteria, the Russian air transportation market is still in an underdeveloped state. The world market leaders - Lufthansa, Air France - transport more than 40 million people each year, but all our companies combined carry only 30 million. This, I repeat, is due to the low solvency of the population. Significant market growth can only occur with an improvement in the overall economic situation. Although we cannot expect any jumps in the near future, we nevertheless hope for the best and plan for stable growth.

– Is the picture the same with helicopter transportation?

- Not really. The USSR at one time was several decades ahead of other countries by creating the best heavy helicopters in the world. The Mi-26, for example, can easily lift 20 tons of cargo, which is twice as much as any Western analogue. Transports trucks and heavy drilling equipment over long distances. UTair annually purchases up to five helicopters of this and slightly smaller classes for transporting large cargo.
We are also a major supplier of aviation services to the United Nations. Today, about 50 of our helicopters operate on the African continent and Asia, transporting humanitarian supplies, employees of international organizations and diplomatic missions to hard-to-reach areas. In Russia, our main client is enterprises in the oil and gas industry, the geological sector - in short, there is plenty of work. We are in demand where there are no roads or other types of communications.
However, we also need light vehicles. It is very wasteful to take a doctor to a patient, fly around pipelines and power lines with a load of one hundred kilograms on a twelve-ton Mi-8. Already today, operating this machine costs almost $1,000 per flight hour. Domestic design bureaus, separated from aircraft factories at the dawn of privatization, are in a terrible situation. They are simply not able to compete with Western manufacturers, which are united into giant concerns. This is the main reason for the known problems of the aviation industry.

– Which direction of the company’s business do you consider the most attractive?

– In terms of revenue, airplane transportation is almost twice as large as helicopter transportation. But today we are developing mainly due to successful helicopter operations, because this business is much more attractive in terms of profitability. Air transportation was previously unprofitable and only recently began to approach the level of profitability.

– UTair quickly broke into the top five leaders of the Russian aviation market. What tasks do you set for yourself in the near future?

– First of all, to gain a foothold in this space. We also plan to update our aircraft fleet by purchasing modern short- and medium-haul aircraft. We will develop new directions on domestic and international airlines, offering a quality product. According to expert forecasts, the Russian economy will experience growth in the next few years. This means that the air transportation sector will certainly develop.

UTair airline has begun rebranding

UTair General Director Andrey Martirosov was awarded an AVI medal

February 9, 2017, AEX.RU – On February 7, 2017 in Surgut, the Chairman of the Board of the Helicopter Industry Association (AVI) Mikhail Kazachkov awarded UTair General Director Andrey Martirosov the medal “For his contribution to international cooperation in the helicopter industry.” The award ceremony took place during the solemn celebration of the airline's 50th anniversary. This was reported by the press service of UTair Airlines.

Utair Airlines has released financial flaps

Utair airline began rebranding on October 31. The carrier linked this to the aircraft painting cycle: now they will be decorated with a new logo. About 4 million rubles were spent on the development of a new logo alone, and painting each aircraft will cost another 50-100 thousand dollars. The airline currently ranks fourth among Russian air carriers. Utair has a market share of 6.8%, but plans to increase it to 10%. It may seem that the company’s business has gone uphill, but its financial position is no less precarious than that of VIM-avia.

Experts suggest that after VIM-Avia leaves the market, Utair will receive part of the passenger flow of charter flights, about 300-400 thousand passengers per year. In financial terms, this will amount to about 3.5 billion rubles. But is it worth entrusting the air transportation of one actual bankrupt to another - a potential one? Does Utair CEO Andrey Martirosov have to blush for the airline?

UTair Finance (SPV company of UTair airline, which is experiencing financial difficulties) did not fulfill the demand of bondholders for early repayment for a total amount of 30 million rubles. due to lack of funds, follows from the company’s message.

A fourth airport will appear in Moscow

According to Vedomosti, the airline already has an agreement with the Kaluga region. Negotiations are currently underway with investors about the construction of terminals with throughput 6 million passengers per year. This will require about 6 billion rubles. According to UTair CEO Andrey Martirosov, the Federal Antimonopoly Service requires attracting third-party funding.

Moscow may have an airport for low-cost airlines

Ermolino is not burdened by the restrictions of the Moscow aviation zone, where planes are already circling waiting for landing from half an hour to an hour, noted Andrey Martirosov, general director of UTair airline, which is involved in the project. Active negotiations are currently underway with Russian Railways and Aeroexpress about direct message with the airport. There is practically a branch from Vnukovo to Ermolino; a branch from railway to the air terminal, then it will be possible to get to Ermolino from Moscow in an hour and a half. Both the railway workers and the Kaluga authorities understand that it is necessary to work in this direction, Martirosov assured. However, representatives of Russian Railways and Aeroexpress said that so far the negotiations have led nowhere.

Ermolino Airport may become part of the Moscow air hub by the end of 2014

This project was announced by UTair airline, which entered into an agreement with the Kaluga region and pledged to base up to 20 Airbus 320s in Ermolino, writes the Vedomosti newspaper. The inclusion of Ermolino in the Moscow air hub will partially relieve the load on capital airports, said the airline's general director Andrey Martirosov. If planes are now forced to circle over Moscow waiting for permission to land from half an hour to an hour, then partial unloading of the main airports can significantly improve the situation. Investors, with whom UTair is negotiating, are invited to invest $200 million in the airport to build terminals for 6 million passengers a year, Martirosov said.

A “budget” airport for Moscow will be built in Kaluga region

According to UTair General Director Andrei Martirosov, the airline is also in active negotiations with Russian Railways about launching Aeroexpress trains to Ermolino. The airport is located just a few kilometers from Balabanovo (about 80 km from Moscow), where there is already a railway line, so it will only be necessary to make a branch from the railway to the air terminal.

New airport

Flying coffins of UTair airline

Against the backdrop of these incidents, it is worth paying attention to the financial problems of the carrier, of which he has several. First, the airline barely managed to avoid bankruptcy proceedings this week. To do this, UTair had to pay off debts to Perm Avializing, which filed a corresponding claim with the arbitration court of the Khanty-Mansi Autonomous Okrug. At the same time, the carrier currently retains a debt under lease agreements in the amount of 48.902 million rubles. However, for some reason the company itself considers this a trifle. “We are surprised by the amount of media attention paid to this minor economic dispute, which, as expected, we are trying to resolve in court. This event will not have any impact on the stable operation of UTair Airlines OJSC,” said Andrey Martirosov, general director of the carrier.
